Welcome to CaseAlytics. These Terms of Service ("Terms") are a binding agreement between you and CaseAlytics LLC ("CaseAlytics," "we," "us," or "our"). By accessing or using our website (casealytics.ai), platform, and associated services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting a notice on our website or by other reasonable means. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services.

Description of Services

CaseAlytics provides litigation analytics services that use artificial intelligence, machine learning, and econometrics to predict case outcomes and identify factors driving those outcomes. Our models are trained on data from terminated federal cases.

Not Legal Advice

The Services provide data-driven predictions and analytical information for informational purposes only. CaseAlytics is not a law firm. Nothing provided through the Services constitutes legal advice, and no attorney-client relationship is formed by your use of the Services. Predictions are probabilistic in nature and are not guarantees of any outcome. You should consult with a qualified attorney before making legal decisions based on any information obtained through the Services.

Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

The Services are intended for users who are at least 18 years old. We do not knowingly collect personal information from individuals under the age of 16. If we learn that we have collected such information, we will delete it promptly.

User Accounts

You may be required to create an account to access certain features. You agree to provide accurate and complete registration information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Violation of these restrictions may result in immediate termination of your access to the Services.

Intellectual Property

All content, data, models, software, and materials available through the Services are the property of CaseAlytics or its licensors and are protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your own internal purposes in accordance with these Terms.

You may not copy, reproduce, modify, distribute, sell, or create derivative works based on any part of the Services without our prior written consent.

Fees and Payment

Certain features of the Services may require payment. If a previously free feature begins to carry a fee, we will notify you in advance. Payment terms presented during signup or purchase are part of these Terms. You are responsible for all applicable taxes associated with your use of the Services.

Termination

We may terminate or suspend your access to the Services at any time and for any reason, including breach of these Terms. Upon termination, your right to use the Services ceases immediately. Termination may result in the deletion of data associated with your account.

Provisions that by their nature should survive termination will survive, including intellectual property rights, warranty disclaimers, limitations of liability, indemnification, and dispute resolution.

Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CaseAlytics does not warrant that the Services will be uninterrupted, error-free, or that any predictions or analytics will be accurate or complete. You acknowledge that litigation outcomes depend on numerous factors and that no predictive model can guarantee results.

Limitation of Liability

To the fullest extent permitted by applicable law, CaseAlytics and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunity, arising out of or related to your use of the Services, regardless of the theory of liability. In no event shall our total liability exceed the greater of one hundred dollars ($100) or the amounts paid by you to CaseAlytics in the twelve (12) months preceding the applicable claim.

Indemnification

You agree to indemnify and hold harmless CaseAlytics and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services or your violation of these Terms.

Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of the State of Delaware, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the State of Delaware, and the arbitrator's decision shall be final and binding.

You and CaseAlytics each waive the right to a jury trial and the right to participate in a class action. All claims must be brought in your individual capacity and not as a plaintiff or class member in any class or representative proceeding.

General Provisions

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. These Terms constitute the entire agreement between you and CaseAlytics with respect to the Services and supersede all prior agreements and understandings. No waiver of any provision shall be deemed a further or continuing waiver of that or any other provision.
